Does California have an "Open Meetings Act"?  If they do, some one will challange the closed sessions, even if in some instantses they may have been allowed unded such an act.

In our state (N.D.), you're allowed to go into "executive" (closed) session when the subject is filed lawsuits to which you're a party.
