Not exactly the move I would make if my stock were falling like a rock. I would have divested completely and invested the proceeds in something else. GE really seems to be making some collosally stupid moves of late. Maybe I am not seeing what the goal is here.

I'm not sure that one can read the deal this way. GE gets 9.9% of the new company's shares, the current GE shareholders 40.2%. I think that is different than GE getting 50.1%Regards, Volker
That was my take on the wording also. GE Corporation will be a 9.9% owner of the merged company, numerous other entities and individuals will own 40.2% and current Wabtec owners will own 49.9% of the new company and run the operation.
It looks to me like GE Corp is taking cash out of the GE Transportation division by basically “selling” about 80% of the GE Transportation division to others (GE Corp shareholders and then the whole thing is merged with Wabtec, with GE Corp’s “unsold“ 20% portion of GE Transportation becoming their 9.9% ownership of the new company, the “buyers” of the 80% of the GE Transportation division (the current collection of GE shareholders) becoming 40.2% owners of the new company, and the value of all of Wabtec giving current Wabtec owners 49.9% ownership of the new company.
It is clear the GE Transportation division is a larger entity than Wabtec, so it makes sense that the current owners of GE Transportation (GE Corp and the current collection of GE Corp shareholders) collectively own more than half of the merged entity.
I guess once the documents are filed with the SEC we will know for sure.
