CN put up 60% of the money towards a batch of 20 LMS C40-8Ws, with the agreement stating that they would use all 20 locomotives for 60 % of the year and Conrail would use them the rest of the year. With the breakup of Conrail the agreement was terminated and the assets (20 locomotives) were divided between CN and Conrail proportionally, then the Conrail locomotives were divided between CSX and NS.

There were three batches of 20 locomotives, each managed by LMS, CN was a party to only one batch.
